Governing your use of PrestoQ.

1) Acceptance of Terms

These Terms & Conditions (“Terms”) form a binding agreement between you and PrestoQ, provided by Presto Solutions (“Company,” “we,” “us,” or “our”). By registering a business, activating a subscription, or using the PrestoQ platform in any capacity, you agree to these Terms and to any policies referenced here, including our Privacy Policy.

Not a bank or payment provider: PrestoQ is a software platform. We facilitate the recording and routing of transactions but do not hold deposits or operate as a financial institution. Payment processing is performed by licensed third-party payment processors.

2) About PrestoQ

PrestoQ is an AI-powered Point-of-Sale (POS) system designed for restaurants, eateries, cafes, food courts, and similar food-service businesses. The platform provides:

5) Subscription & Fees

Plans: PrestoQ is offered on a subscription basis. Plan features, pricing, and billing cycles are described on our pricing page and in your order confirmation.

Billing: Subscription fees are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on the applicable billing cycle.

Price Changes: We may adjust subscription pricing with at least 30 days’ written notice. Continued use after the effective date of a price change constitutes acceptance.

Taxes: Subscription fees are exclusive of applicable taxes (e.g., VAT/GVT). You are responsible for all applicable taxes.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless required by law.

Non-payment: If payment fails and is not resolved within 7 days, we may suspend or terminate your account.

6) Order & Payment Processing

Order Accuracy: PrestoQ records and routes orders as entered by your staff. You are responsible for ensuring menu items, prices, and modifiers are correctly configured.

Payment Processing: Card and mobile money payments are processed by our third-party payment partners. Transaction outcomes (approvals, declines) are determined by those providers and the customer’s issuing institution.

Settlement: Settlement timelines and procedures are governed by your agreement with your payment processor, not by PrestoQ.

Cash Transactions: Cash handling is your responsibility. PrestoQ records cash transactions for reporting and accountability purposes only.

10) Third-Party Integrations

PrestoQ may integrate with or connect to third-party services including payment processors, delivery platforms, accounting tools, kitchen hardware, and SMS/notification providers. Your use of those integrations is also governed by the respective third party’s terms and policies. We are not responsible for the availability, performance, or decisions of third-party services.

11) Data & Privacy

Your privacy and the privacy of your customers matter. Our data practices are described in our Privacy Policy, incorporated into these Terms by reference. By using PrestoQ, you consent to the collection, processing, and use of data as described in that Policy.

As a business owner, you are a data controller for your customers’ personal data processed through PrestoQ. You are responsible for ensuring you have a lawful basis to collect and process that data and for providing appropriate notices to your customers.

12) Intellectual Property

PrestoQ, including all software, algorithms, AI models, designs, logos, and documentation, is owned by Presto Solutions or its licensors and is protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use PrestoQ for your food-service business operations during the term of your subscription.

You retain all rights to your business data (menu items, transaction records, sales data). By using PrestoQ, you grant us a limited license to process that data to deliver the service and, in anonymized/aggregated form, to improve our AI models.

13) Business Content & License

You are responsible for all content you upload to PrestoQ, including menu item names, descriptions, images, and pricing. You represent that you have the rights to use any content you upload and that it does not infringe third-party rights. You grant us a non-exclusive, royalty-free license to use, display, and process that content solely to operate the PrestoQ service for your account.

14) Beta & Experimental Features

We may make new or experimental features available for early testing. Beta features are provided “as is,” may be unstable or incomplete, and may be modified or discontinued at any time without notice. Do not rely on beta features for critical business operations.

16) Suspension & Termination

We may suspend or terminate your account immediately if we reasonably believe there is: fraud, security compromise, illegal activity, repeated violation of these Terms, or non-payment. We will provide notice where reasonably practicable. You may terminate your account at any time by cancelling your subscription and ceasing use of the platform.

Upon termination, your access to the platform will cease. We will make your business data available for export for 30 days after termination, after which it may be deleted in accordance with our retention policy.

17) Disclaimers

PrestoQ is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the platform will be error-free, uninterrupted, or that AI-generated insights will be accurate or suitable for your specific business circumstances.

18) Limitation of Liability

To the maximum extent permitted by applicable law, we are not liable for: indirect, incidental, special, consequential, or punitive damages; lost profits or revenue; data loss; or business interruption — even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or related to these Terms or the PrestoQ service will not exceed the greater of: (a) the total subscription fees you paid to us in the 3 months immediately preceding the event giving rise to the claim; or (b) GHS 1,000.

19) Indemnity

You agree to indemnify, defend, and hold harmless Presto Solutions and its officers, employees, and agents from and against any claims, damages, losses, and costs (including reasonable legal fees) arising from: your use of PrestoQ; your violation of these Terms or applicable law; your staff’s actions on the platform; or your customers’ claims related to orders processed through your PrestoQ account.

20) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana. Any dispute arising out of or relating to these Terms or the PrestoQ service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to confidential arbitration seated in Accra under the rules of a recognized Ghanaian arbitral body. Either party may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.

21) Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification with at least 14 days’ notice. The updated Terms will be posted here with a new “Last updated” date. Continued use of PrestoQ after the effective date of changes constitutes acceptance of the revised Terms.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Failure by either party to enforce a provision is not a waiver of future enforcement rights.
